1. Agreement to these terms

These Terms and Conditions ("Terms") govern your use of www.takigpt.com (the "Site"), operated by TakiGPT AI Inc. ("TakiGPT," "we," "us," "our"). By accessing the Site, joining our waitlist, downloading a free resource, submitting an inquiry, purchasing a product or service, or opting into our communications, you agree to these Terms. If you do not agree, do not use the Site.

2. Changes to these terms

We may update these Terms at any time. Changes take effect when posted, with a new "last updated" date. Your continued use of the Site after a change means you accept the revised Terms.

3. Use of the Site

You may use the Site only for lawful purposes. You agree not to damage, disable, or impair the Site, interfere with anyone else's use of it, or attempt to gain unauthorized access to any account, system, or data. Where the Site offers comments or other interactive areas, we may moderate, edit, or remove content at our discretion.

4. Products, services, and offers

The Site describes free AI resources, the AI OS Community, and brand partnership services. Descriptions may change without notice, and we may add, change, or discontinue any offer at any time without liability. A specific offer may have its own terms presented at the point of signup or purchase, and those terms apply in addition to these.

5. The AI OS Community and the waitlist

The AI OS Community is not open for enrollment yet. The pages that describe it show what it will include, not an offer for sale, and the details may change before it opens. Joining the waitlist is free. It does not charge you, reserve a guaranteed seat, or complete a purchase. Waitlist members will receive first access and the full details when enrollment opens.

6. Pricing, purchases, and payment

When the AI OS Community or any other paid offer opens, the price, billing schedule, renewal, cancellation method, refund terms, and any taxes will be shown at checkout before you pay. Those checkout terms will govern that purchase. You are responsible for providing accurate billing information, and you confirm that you are authorized to use the payment method you provide. Refund and cancellation policies vary by offer and are disclosed at the point of purchase. No amount is owed by joining the waitlist.

7. Free resources

You may use and adapt the free prompts, agent instructions, SOPs, systems, and audits inside your own business. You may not resell, republish, scrape, mirror, or present the resource library as your own product.

8. Brand partnerships

Submitting a partnership inquiry starts a conversation. It does not accept a campaign, create a contract, reserve a date, or guarantee a response or publication. Scope, price, usage rights, deliverables, timelines, approvals, and payment terms are agreed in a separate written contract. Campaign budgets shown on the Site start at $5,000 USD.

9. Email communications and consent

We send commercial email only with your consent, and we follow Canada's Anti-Spam Legislation (CASL) and the United States CAN-SPAM Act. When you consent, we tell you who is sending (TakiGPT AI Inc.), what you will receive, and that you can unsubscribe. Every marketing email identifies us, includes our current mailing address, and includes a working unsubscribe link that we honor promptly and no later than 10 business days, at no cost to you. You can withdraw consent at any time through the unsubscribe link or by emailing takigptai@gmail.com. We keep records of the consent you give. See our Privacy Policy for the full detail. We currently communicate by email; we do not operate an SMS or text-message program.

10. Your responsibility and AI output

Our resources and teaching involve AI tools, and AI can be wrong. You are responsible for reviewing every output before you use it and for keeping a person in control of money, legal matters, health, hiring, customer promises, security, data access, publishing, and any irreversible action. Do not submit information you do not have the right to use.

11. No income or results promise

The Site, the free resources, and any program teach skills and systems. They do not promise revenue, savings, growth, employment, or any other business result. Any examples are illustrations, not guarantees. Your results depend on your business, effort, tools, judgment, and market.

12. Intellectual property

The Site and its content, including text, graphics, images, logos, video, audio, course materials, agent builds, templates, software, and branding, are owned by TakiGPT AI Inc. or its licensors and are protected under Canadian, United States, and international copyright and trademark law, except for third-party names and materials. A purchase gives you a personal or internal business-use license. It does not transfer ownership or grant resale rights. Unauthorized use may carry civil and criminal penalties.

13. Copyright complaints

We respect intellectual property and respond to valid notices of claimed infringement under the Digital Millennium Copyright Act (DMCA) and applicable Canadian law. If you believe content on the Site infringes your copyright, email takigptai@gmail.com with: your physical or electronic signature; identification of the work; the location of the material on the Site; your contact details; a statement of your good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act.

14. Acceptable use

Do not attack the Site, bypass limits, submit malicious code, collect another user's data, impersonate anyone, interfere with the service, or use the resources for unlawful harm.

15. Disclaimer of warranties

The Site and all products, services, content, functions, and information are provided "as is" and "as available," without warranties of any kind, whether express or implied, including accuracy, quality, title, non-infringement, merchantability, or fitness for a particular purpose. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that any result you seek will be achieved. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

16. Limitation of liability

To the fullest extent permitted by law, TakiGPT AI Inc. and its directors, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of or inability to use the Site, the resources, any product or service, or any AI output, even if we were advised of the possibility. Where liability cannot be excluded, our total liability is limited to the amount you paid us, if any, for the offer that gave rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless TakiGPT AI Inc. and its officers, directors, employees, and agents from any losses, costs, and expenses, including reasonable legal fees, arising from your violation of these Terms or your use of the Site.

18. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts located in Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Site, subject to any consumer rights in your home jurisdiction that cannot be waived. Either party may seek injunctive or equitable relief in a court of competent jurisdiction.

19. Severability

If any part of these Terms is found unlawful, void, or unenforceable, that part is severed and the rest stays in effect.

20. Entire agreement

These Terms and our Privacy Policy are the entire agreement between you and TakiGPT AI Inc. regarding the Site, and they supersede any prior agreements or understandings on that subject, written or oral.

21. No waiver

If we do not enforce a right or provision, that is not a waiver. A waiver is effective only if we put it in writing.
